INTRODUCTION

This workshop focuses on the professional acting as principal agent (PA). We consider the obligations, authority and liabilities of the professional when he is acting as the employer’s agent with respect to the four primary contracts, recognised by the CIDB, for use in South Africa: FIDIC, JBCC, GCC & NEC.

LEARNING OUTCOMES

In general, the four contracts under consideration, delegates who have completed this course should:

  • Understand the contractual relationship between employer, PA and contractor
  • Gain an understanding of the most pertinent clauses they can expect to deal with in their contract with the employer
  • Understand how PI cover protects professionals in the event of negligence
  • Understand the liability and implications of agreeing to be held liable to the standard “fitness for purpose” as opposed to “reasonable skill and care”
  • Understand how the different contracts deal with:
    • Who can act as the principle agent
    • Replacing the principle agent
    • Authority of the principle agent
  • How the PA must conduct themselves when making determinations
  • Understand whose interest the PA is protecting and how to balance the need for impartiality against the reality of being the client’s representative
  • Understand how a delegation of authority affects the liability of the PA
  • Appreciate the procedural time lines with regard to responses to claims and the implications of failure to respond in time
  • Understand what course of action the client (employer) may have against the PA if he does not fulfil his/her duties
  • Understand how they can protect themselves in contract through indemnities and limitations of liability
